The following supersedes all prior Club Carlson Terms and Conditions. By participating or continuing to participate in Club Carlson after the Effective Date, you agree to the following: 

Club CarlsonSM is the global hotel rewards program (“Club Carlson” or the “Program”) as it may be provided from time to time to Program members (“members”, “you” or “your”) by Carlson Hotels, Inc., its affiliates, subsidiaries and related companies (“Carlson”, “we”, “us” or “our”).  Club Carlson offers its members the opportunity to earn and redeem Gold Points® (“Gold Points” or “Points”) at Participating Properties and with Partners.  These terms and conditions (the “Program Terms”) govern your membership and participation in Club Carlson and it is your responsibility to read and understand all of them.  Carlson may at any time, in its sole discretion and without notice or liability, terminate, amend, modify or supplement Club Carlson, Program benefits, or the Program Terms.  By becoming and remaining a member of Club Carlson, and receiving and redeeming Gold Points, you agree that you have read, understand and accept these Program Terms as amended from time to time. Membership and Program benefits are offered at the sole discretion of Carlson.

1. CLUB CARLSON DEFINITIONS

  1. Award Night” means a night at a Participating Property paid for by redeeming Gold Points. Award Nights are subject to these Program Terms and the terms and conditions of the Participating Property.

  2. Award Stay” means any stay at a Participating Property that includes one or more Award Nights.

  3. Eligible Food and Beverages” means certain food and beverages charged to your room during an Eligible Stay.

  4. Eligible Night” means a night at a Participating Property that is booked at an Eligible Rate.

  5. Eligible Rate” means a rate identified in Carlson’s reservation system as eligible for Gold Points.  Eligible Rate does not include, without limitation, the following: employee rates; friends and family rates; airline crew rates; travel agency employee rates; certain promotional and package rates; rates paid using a free night voucher and other complimentary or barter rooms; rates booked and billed through an online travel company, whether such rates are direct, auction or bid rates; rates booked and billed through a master account, including group accounts and tour operator accounts; and certain other rates booked through third parties.

  6. Eligible Stay” means one or more consecutive Eligible Night(s) at the same Participating Property, regardless of the number of check-ins or check-outs that occur during that stay.

  7. Elite Status” means an individual member’s status in Club Carlson with different and/or additional Program benefits according to status, as determined by Carlson from time to time in its sole discretion.

  8. Event Purchase” means the U.S. dollar amount spent at a Participating Property for certain costs associated with meetings, events and conventions, excluding tax and gratuities.

  9. Express Awards” means benefits, services and amenities offered by a Participating Property for which members may redeem Gold Points.

  10. Participating Property” means certain hotels and properties operating under the Radisson®, Radisson Blu®, Country Inns & Suites By CarlsonSM, Park Inn® by Radisson, and Park Plaza® brands, and other brands or concepts that may be added by Carlson, that provide benefits to Club Carlson members from time to time.  Participating Properties and the Program benefits provided by each Participating Property are subject to change at any time without notice.

  11. Partners” means third parties and their service providers that provide benefits to Club Carlson members from time to time.  Partners and the Program benefits provided by each Partner are subject to change at any time without notice.  Nothing in the Program Terms is intended to or shall create or establish any agency, partnership or joint venture relationship between us and our Partners.

  12. Room Charges” means the U.S. dollar amount of the Eligible Rate paid during an Eligible Stay. Room Charges do not include tax, incidental or third party charges incurred and charged to the room, such as charges for telephone or other communications services, laundry, pay-per-view movies, entertainment, recreational facilities, restaurants, banquets, catering, gift shops, stores, tenants, vendors or concessionaires.

2. MEMBERSHIP IN CLUB CARLSON

  1. Eligibility:  Application for membership in Club Carlson is open to individual persons who are of majority age in their place of residence.  Club Carlson members must provide and maintain an accurate email address and an accurate physical address, including city, state or province, and country of residence.  An individual may maintain only one Club Carlson membership and may not earn Gold Points on more than one Club Carlson account.  Membership and participation in Club Carlson is void where prohibited by applicable law, rule or regulation.

  2. Enrollment:  You may apply for membership in Club Carlson at a Participating Property, online at www.clubcarlson.com, or by telephone at the numbers listed below.  We may, in our sole discretion and without any liability to you, accept or decline your application for membership in Club Carlson. If we accept your application for membership, we will establish a Club Carlson account in your name.  If you apply for membership at a Participating Property during an Eligible Stay and your application is accepted, you will receive your Club Carlson membership card and credentials at the time of enrollment.  If you apply for membership online or by telephone and your application is accepted, you will receive your Club Carlson membership card and credentials in the mail after your first Eligible Stay.

  3. Membership Obligations:  As a Club Carlson member, you agree to comply with these Program Terms, the applicable terms and conditions of our Partners, and all applicable laws, rules and regulations. You agree that your participation in Club Carlson is entirely at your own risk. You agree that if you object to any of these Program Terms, or any modifications thereof, or otherwise become dissatisfied with Club Carlson, your only recourse is to terminate your membership.  You agree that you are responsible for restricting access to and maintaining the confidentiality of your Club Carlson membership number, account, password and membership card.  You also agree to promptly notify us if your Club Carlson membership card or membership number is lost or stolen, or if you believe your pass word has been stolen or compromised.  You agree that you will provide accurate information to us at all times and to promptly notify us of any change in your information.  You understand that the receipt of benefits as a Club Carlson member may be subject to tax liability, and agree that any tax liability, including disclosure, with respect to your membership in Club Carlson is solely your responsibility.

  4. Expiration of Gold Points and Termination of Membership:

    1. Expiration of Gold Points:  If there is no Gold Points activity in your Club Carlson account for any 24-month period, we may, at any time and in our sole discretion and without notice or liability to you, void and cancel any or all of your Gold Points.     

    2. Termination of Your Membership in Club Carlson by You:  You may terminate your membership in Club Carlson at any time by contacting us.

    3. Other Modifications to and Termination of Your Membership In Club Carlson By Us:   In addition to the above, we may, at any time in our sole discretion and without notice or any liability to you, (i) modify, suspend or terminate your membership in Club Carlson; (ii) modify, suspend or terminate your Elite Status; (iii) modify, suspend, void or cancel all or a portion of your Gold Points; (iv) modify, suspend, void or cancel your redemption of Gold Points.  We may take these actions for the convenience of Club Carlson, or if there are reasonable grounds for suspecting, in our sole discretion, that (i) you have violated or are using the Program in a manner inconsistent with these Program Terms or the intent of the Program or any portion of the Program; (ii) you have misused or abused Club Carlson; (iii) your account activity or membership status involves or results from fraud, dishonesty, theft, or other illegal or improper means; (iv) you knowingly attempt to obtain or maintain more than one Club Carlson account; (v) your membership or participation in Club Carlson violates any applicable laws, terms or regulations; (vi) our provision of benefits under Club Carlson violates any applicable laws, terms or regulations; or (vii) you fail to pay any amounts due to or engage in abusive, inappropriate, offensive, or hostile conduct in connection with Club Carlson, Participating Properties, Carlson or our Partners, or their respective officers, directors, agents, employees, representatives or guests.  These rights are in addition to any other remedy which may be available to us under applicable law and we have the right to take appropriate administrative and/or legal action, including, without limitation, criminal or civil prosecution, we deem necessary in our sole discretion.

    4. Effect of Termination:  If your membership in Club Carlson is terminated for any reason, your Club Carlson account will be closed and all Gold Points in your Club Carlson account will be cancelled, forfeited, void and no longer available for redemption.  If we modify, suspend, void or cancel any or all of your Gold Points, such Gold Points will be removed from your Club Carlson account and will no longer be available for redemption.

3. GOLD POINTS

  1. Earning Gold Points:

    1. At Participating Properties:  Club Carlson members may earn 20 Gold Points per U.S. dollar spent on Room Charges and Eligible Food and Beverages at Participating Properties.  You must provide your Club Carlson member number when the reservation is made or at check-in.

      Gold Points are considered earned once the stay has been completed, all charges have been fully paid, and the Gold Points have been added to your account.  Gold Points are not available for redemption before an Eligible Stay has been completed, fully paid and added to your account.

      Gold Points may be earned by only one Club Carlson member per Eligible Stay, and that member must appear on the reservation and be the registered guest.  Gold Points may be earned on up to three rooms booked under the same reservation, but credit for multiple rooms must be requested at or before the time of check-in and the member must appear on the reservation for at least one of the booked rooms and be a registered guest for the duration of the Eligible Stay.  Gold Points may not be earned for any other reservations that do not include the Club Carlson member’s name on the reservation and for which the member is not the registered guest.

    2. Through Partners:  Club Carlson members may earn Gold Points with our Partners. These opportunities may vary based on the Club Carlson member’s country of residence, may not be available to all members, are subject to change at any time without notice, are governed by these Program Terms, and are subject to additional terms and conditions as required by an individual Partner.  Partners are independent entities and we are not responsible for the nature or quality of products or services provided by any Partners, nor for any solicitation or marketing efforts by any Partners.  You are responsible for complying with Partners terms and conditions, and privacy and usage policies.  We are not responsible for and assume no liability for the terms, changes or discontinuances of Partners’ terms, conditions, privacy and usage policies, products or services.

      Club Carlson members may not earn Gold Points and Partner benefits for the same activity.  By providing your Club Carlson member number to a Participating Property, you indicate your preference to earn Gold Points.

    3. Purchasing Gold Points:  We may offer Club Carlson members, from time to time and in our sole discretion, the option to purchase Gold Points. We currently offer members the option to purchase Gold Points through Points.com.  Additional terms and conditions apply, and may be found at https://www.points.com/loyalty-program/club-carlson.  Gold Points that are purchased are subject to these Program Terms.  Any other sale, purchase, barter, auction, gift, transfer or assignment of Gold Points, except as may be specifically allowed in these Program Terms, is prohibited and will not be honored.

    4. Club CarlsonSM Visa® Card:  Club Carlson members who reside in the U.S. may earn Gold Points and qualify for additional benefits by using the Club Carlson Visa Card.  Additional terms and conditions apply, and may be found at http://www.clubcarlsonvisa.com/credit/welcome.do.

    5. Club Carlson for Planners:  Club Carlson members may earn 3 Gold Points per dollar spent for Event Purchases of less than US$5,000, and 5 Gold Points per dollar spent for Event Purchases of US$5,000 or greater (up to a maximum of US$50,000 in Europe, Middle East and Africa).  Gold Points for Event Purchases may not be earned where prohibited by applicable law, rule or regulation.

      1. Earning Gold Points for Event Purchases:  You must request to earn Gold Points for Event Purchases at the time the meeting, event or convention is booked by including your name and Club Carlson membership number on the contract with the Participating Property.  Event Purchases must be applied to one master bill in order to be eligible for Gold Points. Only one Club Carlson member may earn Gold Points for Event Purchases. You do not have to attend the meeting or event to be eligible to earn Gold Points for Event Purchases.  Some services and amenities may not be provided directly by the Participating Property, and these and other charges, including charges for cancellation, attrition and other payments, may not be eligible as Event Purchases. Nights or stays associated with a meeting or event do not count towards your Elite Status.

      2. Disclosure and Consent:  You are responsible for disclosing to and receiving consent from your employer, principal and/or client that you will earn Gold Points and other incentives received from Club Carlson for Event Purchases, and must comply with any applicable gift and incentive policies.

  2. Redeeming Gold Points:

    1. Generally:  Club Carlson members may redeem Gold Points at Participating Properties or through our Partners.  Gold Points may be redeemed for the benefit of the Club Carlson member or for another individual as a gift.  Except for transfers of Gold Points expressly allowed in these Program Terms or with Carlson’s written consent, Gold Points may not otherwise be sold, exchanged, bartered, brokered, transferred, purchased, auctioned or given away. Redemption options are subject to change from time to time without notice in our sole discretion.

      When redeeming Gold Points, you will be required to verify your Club Carlson account information.  The corresponding number of Gold Points will be subtracted from your Club Carlson account at the time the transaction is initiated, and there must be a sufficient number of Gold Points in your Club Carlson account at that time for the transaction.  Gold Points in two or more different accounts may not be combined for redemption. Redemption transactions may be approved or revoked in the sole discretion of Carlson.

    2. At Participating Properties:

      1. Award Nights:  Club Carlson members may redeem Gold Points for Award Nights at Participating Properties, subject to availability.  Award Night reservations must be made in advance, and must be made through the Club Carlson website, a Carlson brand website, a Carlson mobile website, or through Carlson’s telephone reservation center.  Award Nights may not be combined with other certificates, discounts, packages or promotional offers and are not commissionable, including without limitation commissions to travel agents.  Award Nights apply to a standard room with standard occupancy.  Additional occupants are subject to the Participating Property’s standard extra person charges.  Award Nights are subject to each Participating Property’s cancellation, guarantee and deposit policies.  Gold Points equal to one night of an Award Night reservation will be deducted from your account if your reservation is not cancelled in accordance with the Participating Property’s cancellation policy.  Any incidental charges in connection with an Award Night are the sole responsibility of the member.

        If a hotel ceases to be a Participating Property after an Award Night reservation is made, but before the actual stay, Carlson will use reasonable efforts to have the hotel honor the Award Night reservation, but cannot and does not guarantee that any such Award Night reservations will be honored. In addition, at the discretion of Carlson, Award Nights may not be available for reservation at a hotel once it is determined that such hotel will be leaving the Carlson system or otherwise will cease to be a hotel in the Carlson system regardless of the length of time before such hotel actually leaves the system.

      2. Express Awards: Club Carlson members may redeem Gold Points for Express Awards.  Express Awards, redemption requirements, and any additional terms and conditions are determined by each Participating Property in its sole discretion.

    3. Through Partners:  Club Carlson members may redeem Gold Points with our Partners.  Redemption opportunities and requirements with each Partner vary, are not available where prohibited by law, are subject to change at any time, are governed by these Program Terms, and are subject to additional terms and conditions as required by an individual Partner.  Partners are independent entities and we are not responsible for the nature or quality of products or services provided by any Partners, nor for any solicitation or marketing efforts by any Partners.  You are responsible for directly checking and complying with a Partners’ terms, conditions, and privacy and usage policies.  We are not responsible for and assume no liability for the terms, changes or discontinuances of Partners’ terms, conditions, privacy and usage policies, products or services.

    4. Donating Gold Points:  Club Carlson members may donate Gold Points to certain nonprofit organizations, as determined by us from time to time in our sole discretion. Any other donation, transfer or gift of Gold Points is prohibited and will not be honored.  Donated Gold Points are not tax deductible.

  3. Elite Status:  Club Carlson members may qualify for Elite Status.  Benefits, awards, redemption opportunities and requirements for Elite Status are determined by us from time to time in our sole discretion.  Members are eligible for Elite Status depending on the number of Eligible Nights or Eligible Stays at Participating Properties in a calendar year as follows:

    1. Silver Elite Status:  Club Carlson members may earn Silver Elite Status with at least 15 Eligible Nights or 10 Eligible Stays in one calendar year.

    2. Gold Elite Status:  Club Carlson members may earn Gold Elite Status with at least 35 Eligible Nights or 20 Eligible Stays in one calendar year.

    3. Concierge Elite Status: Club Carlson members may earn Concierge Elite Status with at least 75 Eligible Nights or 30 Eligible Stays in one calendar year.

  4. Once you qualify for Elite Status, you will maintain that status for the remainder of the then-current calendar year and through the following Program year, which runs from March 1 to February 28.  We may from time to time grant discretionary Elite Status or offer promotion(s) that modify the criteria necessary to earn Elite Status.  Unless provided by the terms of a promotion, a discretionary or promotional upgrade to an Elite Status does not waive the full number of Eligible Nights or Eligible Stays required for the next Elite Status or modify the length of time the Elite Status will remain in effect.

  5. Miscellaneous:

    1. Online Account:  Once you are enrolled in Club Carlson, you must activate your online account.  Carlson will endeavor to credit your account with Gold Points on a timely basis. You are responsible for verifying that Gold Points are properly credited to your Club Carlson account. Any claim for Gold Points not properly credited must be received by Carlson with supporting documentation within six (6) months of the date of the claimed accrual of such Gold Points.

    2. Transfers:  Except as expressly allowed in these Program Terms or with Carlson’s written consent, Club Carlson membership, Gold Points, Award Nights, Express Awards, Elite Status and other Program benefits may not be sold, exchanged, bartered, brokered, transferred, purchased, auctioned or given away, including without limitation as part of a domestic relations matter, divorce, inheritance, or otherwise by operation of law.

      1. Transfers by Members with Elite Status:  Club Carlson members with Elite Status may transfer Gold Points from that member’s account to another Club Carlson account upon request.

      2. Transfers within a Household: Club Carlson members may transfer Gold Points to another Club Carlson member who resides in the same household, provided both individuals have been Club Carlson members for at least one year and the addresses for both accounts involved in the transfer have not been updated within thirty (30) days prior to the transfer request. Carlson reserves the right to require proof of eligibility or residency and, in its sole discretion, deny any request to transfer Gold Points.

      3. Transfers upon Death:  Gold Points belonging to a Club Carlson member who is deceased may be transferred to the Club Carlson account of the deceased member’s beneficiary(ies) in our sole discretion.  The deceased member’s membership in Club Carlson must have been in good standing at the time of death. The transfer request must include documentation showing proof of death, such as a death certificate, and proof of authority to make the request, such as court documents or the decedent’s will.  Requests must be made within one (1) year of the date of death or the deceased member’s account will be closed and all Gold Points forfeited.

    3. No Cash Value:  Except where required by law, Gold Points have no cash value and do not constitute member property.  Accumulation of Gold Points does not entitle members to any vested rights with respect to any awards or the Program.  As a Club Carlson member, the only right you acquire in Gold Points is the opportunity to surrender them for redemption in accordance with these Program Terms. 

  6. Club Carlson for Business: Club Carlson for Business offers its members the opportunity to earn and redeem Gold Points at Participating Properties, to redeem Gold Points with certain of our Partners, and to qualify for rate discounts at Participating Properties. Promotional offers from Club Carlson do not apply to Club Carlson for Business.  All other Program Terms apply to Club Carlson for Business, except as modified herein.

    1. Eligibility:  Application for membership in Club Carlson for Business is open to companies that are duly organized and in good standing in their jurisdiction, with a valid government-issued tax identification number.  Membership in Club Carlson for Business is void where prohibited by law, rule or regulation, or by a company’s requirements or policies.

    2. Enrollment: Companies may apply for membership in Club Carlson for Business by contacting the sales specialist at a Participating Property, or by completing and submitting an enrollment request form on www.clubcarlson.com. We may, in our sole discretion and without any liability to you, accept or decline your application for membership in Club Carlson for Business.  If we accept your application for membership in Club Carlson for Business, we will provide you with a Club Carlson for Business member number, a Corporate Account ID, and a link to a private booking webpage to use for reservations.

    3. Account Administrator: You must appoint one authorized representative who is 18 years of age or older to act as the account administrator on behalf of the company.  The account administrator is the primary contact for the company, and is responsible for maintaining accurate records and controls over the company’s participation in Club Carlson for Business.  The account administrator is responsible for ensuring that participation in the Program complies with the applicable policies and practices of the company. You must notify us of any changes to the account administrator. We may require from time to time evidence that the account administrator is qualified and has been duly appointed and authorized by the company. All actions of a Club Carlson for Business member’s directors, employees, and agents will be deemed to be an action of the member company.

    4. Earning Gold Points:  Club Carlson for Business members may earn 8 Gold Points per U.S. dollar spent on Room Charges by its employees, vendors and business partners at Participating Properties, plus 2 Gold Points per U.S. dollar spent for reservations for Eligible Stays that are booked through your private booking webpage, the Club Carlson website, a Carlson brand website, or a Carlson mobile website. Reservations for Eligible Stays must be made by the account administrator and must include the Corporate Account ID.  Individual Club Carlson members may also earn Gold Points for the same Room Charges with their individual Club Carlson accounts. Amounts spent on food and beverages, Event Purchases, taxes, and incidental or third party charges, such as charges for telephone or other communications services, laundry, pay-per-view movies, entertainment, recreational facilities, restaurants, banquets, catering, gift shops, stores, tenants, vendors or concessionaires, are not eligible to earn Gold Points in Club Carlson for Business.   All other Program Terms apply.

    5. Redeeming Gold Points:  Club Carlson for Business members may only redeem Gold Points through the account administrator.  The account administrator may redeem Gold Points on behalf of any individual authorized by the Club Carlson for Business member.

      1. At Participating Properties:  Club Carlson for Business members may redeem Gold Points for Award Nights at Participating Properties, subject to availability.  All other Program Terms apply.

      2. Through Partners:  Club Carlson for Business members may redeem Gold Points with certain of our Partners.  All other Program Terms apply.

    6. Rate Discounts:  Club Carlson for Business members may receive a discount off the standard nightly room rate (excludes promotional, qualified, negotiated, or private rates). The discount will be applied at the time of reservation. The discount does not apply to amounts spent on food and beverages, Event Purchases, taxes, and incidental or third party charges, such as charges for telephone or other communications services, laundry, pay-per-view movies, entertainment, recreational facilities, restaurants, banquets, catering, gift shops, stores, tenants, vendors or concessionaires.

4.   GENERAL

  1. Privacy Policy:  Participation in Club Carlson is subject to the terms and conditions of the Carlson Guest Privacy Policy, found at http://www.clubcarlson.com/section/privacy.faq/privacy.sidemenus, the Club Carlson for Business Privacy Policy, found at http://www.clubcarlson.com/offers/4139729 (collectively our “Privacy Policies”), and our Site Usage Agreements set forth at http://www.clubcarlson.com/siteusageagreement, http://www.radissonblu.com/site-usage-agreement, http://www.countryinns.com/sectiontemplate.do?sidemenu=termsandconditions.sidemenus&section=terms.home, http://www.parkinn.com/privacy-policy/site-usage-agreement, and http://www.parkplaza.com/sectiontemplate.do?sidemenu=termsandconditions.sidemenus&section=terms.home. In addition, by participating in the Program, we may collect additional personal information from or regarding you. We may also use and share your personal information in the ways described below, in addition to what is described in our Privacy Policies. These Program Terms supplement our Privacy Policies with respect to the use, sharing and processing of the personal information of Program members. IF YOU DO NOT AGREE TO THESE TERMS, you must elect not to join and/or to withdraw from the Program.  Additional personal information that we collect includes information that you provide when you enroll in the Program or when you manage your personal profile. During enrollment, we require that you provide your name, physical address including city, state or province, and country of residence, and e-mail address. When you manage your profile, you have the opportunity to provide additional information.  In order to administer the  Program, your personal information may be shared with our Partners, franchisees, fulfillment houses, email service providers and mail houses and marketing companies providing services to such entities to further the purposes of the Program for their use pursuant to their privacy policies and practices.  By enrolling and remaining a member, you also consent to the transfer of your information to countries we and our and Partners’ maintain information processing facilities, business operations and hotels, including the United States and other countries where data protection laws may differ from those of your home country.  To ensure that your personal information is consistent, accurate and up-to-date, we may also share your information with a third party for the purpose of updating and enhancing the quality and content of the information we maintain about you.  As a member, you may receive additional communications from us, including statements, third party news, member offers and messages from our Partners. Members may also receive pre-arrival, reservation confirmation and post-stay e-mails from us. You may change your preferences in regard to the communications that you receive from us by logging onto your account online and managing your subscriptions, or by contacting us in the manner described in our Privacy Policies and the Program Terms.  We may modify our Privacy Policies and the Program Terms from time to time. Your continued participation in the Program following the posting of changes will indicate your acceptance of the changes.

  2. Subject to Applicable Law:  Membership and participation in Club Carlson, and the collection and redemption of Gold Points, is subject to and may be void where prohibited or restricted by applicable law, rule or regulation, or employer’s or customer’s policies or requirements.

  3. Currency Conversion to U.S. Dollars:  All amounts settled in a currency other than U.S. dollars will be converted to U.S. dollars at a conversion rate determined by us in our sole discretion.

  4. Disclaimer of Warranties and Limitation of Liability:

    CARLSON OFFERS CLUB CARLSON, THESE PROGRAM TERMS, AND ANY OTHER RELATED SERVICES AND PRODUCTS “AS-IS” AND, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXPRESSLY DISCLAIMS ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DESIGN, ACCURACY, CAPABILITY, SUFFICIENCY, SUITABILITY, CAPACITY, COMPLETENESS OR AVAILABILITY.  WITHOUT LIMITING THE FOREGOING, CARLSON DOES NOT REPRESENT, WARRANT, OR GUARANTY THAT CLUB CARLSON OR ANY OTHER RELATED SERVICES AND PRODUCTS WILL BE UNINTERRUPTED, WITHOUT OMISSIONS OR ERROR FREE, OR THAT DEFECTS WILL BE CORRECTED OR CHANGES IMPLEMENTED.

    YOU AGREE THAT UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, WILL CARLSON, ITS OWNERS, AFFILIATES AND SUBSIDIARIES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS HAVE ANY LIABILITY OR RESPONSIBILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES TO PERSONS, INCLUDING WITHOUT LIMITATION PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE ARISING IN WHILE OR IN PART, DIRECTLY OR INDIRECTLY, FROM MEMBERSHIP OR PARTICIPATION IN CLUB CARLSON OR USE OF AWARDS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, therefore such exclusions may not apply to you.  In the event any of the foregoing are held liable for any damages related to such matters, your sole and exclusive remedy will be limited to reimbursement for services or products paid by you to the entity held liable which were not provided by such entity.

  5. Indemnification:  You agree to indemnify, release and hold harmless Carlson, the Participating Properties, and our Partners, and any of their parents, subsidiaries and affiliates, and their respective directors, officers, employees and agents, from any liability, costs, damages and fees (including attorneys fees) arising out of any claims related to your membership in Club Carlson.

  6. Program Modifications or Termination:  We reserve the right at any time, in our sole discretion, with or without notice and without any further liability or obligation, even though changes may affect the value of Gold Points already accumulated, to (i) add, modify, delete, change, suspend or terminate (“Change”) Club Carlson, in whole or in part; including without limitation any of the rules, procedures, conditions, benefits, awards, award levels, Participating Properties, Partner affiliations and opportunities, earning terms, redemption rules, or award availability (ii) Change these Program Terms, in whole or in part; (iii) Change any Club Carlson offers; (iv) Change the ability to redeem Gold Points in whole or in part; (v) Change the procedures for redeeming Gold Points, including the number of Gold Points required for redemption; (vi) Change the ability to accrue Gold Points, including but not limited to imposing time limits and changes in Gold Point values, in whole or in part; or (vii) assign in whole or in part Club Carlson to any related or unrelated entity. Upon assignment, the performance of the obligations herein will thereafter be the sole and direct responsibility of that entity. In the event of the termination of Club Carlson, all Gold Points not redeemed by the termination date of Club Carlson will be forfeited without compensation or any further obligation or liability, and no redemption of Gold Points will be honored thereafter.  In accumulating Gold Points and otherwise participating in the Program, you may not rely upon the continued availability of Club Carlson, or any earning, redemption, or other offers made in connection with Club Carlson. All offers are available while supplies last, subject to any applicable cancellation policies, and are subject to change and/or revocation without notice.  Program account information is our proprietary information and may be accessed by members only for the purpose of obtaining information regarding their account.  We reserve the right to audit or investigate Program accounts and information at any time without notice to ensure compliance with Program Terms. During the course of an audit or investigation, information may be shared with parties assisting in such audit or investigation.

  7. Governing Law and Interpretation:  Your enrollment application and Gold Points earning and redemption claims under Club Carlson are subject to our verification and acceptance in our sole discretion, all of which acts shall be deemed made, performed, transacted, and closed in Minnesota, USA. Any claim or dispute arising or relating thereo or otherwise involving Club Carlson, membership or these Program Terms shall be governed and construed in accordance with the laws of the State of Minnesota (USA), without regard to its choice of law or conflict of laws terms.  By participating in the Program, you consent that any legal action arising out of relating to the Program, the Program Terms, any award or any redemption must be filed in the state or federal courts in Hennepin County, Minnesota, USA and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of any such legal action or proceeding.

  8. Dispute Resolution:

    YOU AND CARLSON HEREBY WAIVE ANY RIGHT (I) TO A TRIAL BY A JURY, OR (II) TO PARTICIPATE IN A CLASS ACTION IN COURT OR IN CLASS-WIDE ARBITRATION, WHETHER AS A CLASS REPRESENTATIVE, CLASS MEMBER OR OTHERWISE. You also waive any and all rights to bring any claim or action related to such matters in any forum beyond two (2) years after the first occurrence of the kind of act, event, condition or omission upon which the claim or action is based.  All interpretations of these Program Terms shall be at the sole discretion of Carlson.  The English language version of these Program Terms governs. 

  9. Force Majeure:  Our failure to administer Club Carlson in accordance with these Program Terms because of an act of God, war, fire, riot, terrorism, earthquake, actions of federal, state or local governmental authorities, including but not limited to the imposition of sanctions, or for any other reason beyond our reasonable control will not be deemed a breach of these Program Terms.

  10. Entire Agreement/Waiver:  These Program Terms and the other terms expressly referenced herein and linked hereto constitute the entire agreement between you and us regarding your participation in Club Carlson, your opportunity to earn and redeem Gold Points through Club Carlson, and your entitlement to any other benefits of Club Carlson, and supersede all prior agreements between us, whether oral or written, including, without limitation, all previous versions of these Program Terms. If we fail to act with respect to your breach or anyone else's breach of these Program Terms on any occasion, we do not waive our right to act with respect to future or similar breaches.

  11. Severability:  If any provision of these Program Terms is held by a court of competent jurisdiction to be void, invalid, contrary to law, or unenforceable for any reason, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of these Program Terms shall remain in full force and effect.

  12. Electronic Communications; Notices:  When you interact with us over the Internet, you consent to the formation of contractual relations through electronic communications.  You represent and warrant that you have the legal right, power and authority to agree to these Program Terms on behalf of yourself and the member or other entity on whose behalf you are acting while participating in the site if not acting only for yourself (e.g., a company administrator under Club Carlson for Business). You further agree that your use constitutes an electronic signature as defined by the Electronic Signatures in Global and National Commerce Act ("E-Sign") and the Uniform Electronic Transactions Act ("UETA") and that you have formed, executed, entered into, accepted the terms of, and otherwise authenticated these Program Terms and acknowledged and agreed that these Program Terms are an electronic record for purposes of E-Sign, UETA and the Uniform Computer Information Transactions Act (“UCITA”) and as such are completely valid, have legal effect, are enforceable, and are binding on, and non-refutable by you and the member, buyer, supplier or other entity on whose behalf you are acting.  You are responsible for remaining knowledgeable as to Program Terms, newsletters, account statements, the privacy policy and your membership account status.  We may attempt, but are not required, to notify you of matters of interest, including notification of Gold Point forfeiture or Program changes. We are not liable for any failure to do so and are not responsible for incorrect or inaccurate transcription of your contact information, for problems related to any of the equipment or programming associated or utilized by you, for any human error, for any interruption, deletion, omission, defect or line failure of any electronic communications network or electronic transmission, for problems relating to computer, mobile or other equipment, software, inability to access any site or online service, for any other technical or non-technical error or malfunction, for lost, late, stolen, illegible, incomplete, garbled, misdirected, mutilate or postage-due mail, e-mail or other communication for whatever reason.  You are responsible for creating and protecting private account access information and for maintaining the security of that information.  We are not responsible for stolen or otherwise intercepted account access information.  If the security of that information is breached, we are not liable for any access to that account, accumulation of Gold Points, award redemptions or other account activity that occurs as a result, and in no event are we responsible for reimbursing any Gold Points redeemed or other damages or losses claimed to occur as a result.  If you become aware of any fraudulent or otherwise improper activity, you must report that activity to us immediately.  You are responsible for advising us of any changes to your contact information.

  13. Trademarks:  Club CarlsonSM, Radisson Blu®, Radisson®, Country Inns & Suites By CarlsonSM, Park Inn® by Radisson, Park Plaza® and any other current and future trademarks and service marks associated with Club Carlson are service marks and trademarks of Carlson, or its affiliates or subsidiaries, and may not be reproduced or utilized in any way without the express, prior written consent of Carlson.

  14. Administration:  Carlson administers and promotes Club Carlson, creates and launches marketing and promotional campaigns on behalf of Club Carlson, and manages the relationships between Club Carlson and its Partners. Carlson, its affiliates and subsidiaries may from time to time sell Gold Points to third parties, including Participating Properties and Partners, and redeem Gold Points for cash (including, without limitation, Gold Points received from Participating Properties), airline tickets and other merchandise from our Partners.
